PROVIDED CONTENT RESTRICTIONS
The Provided Content (photo selects, clipped interview & logos) is made available hereunder on a non-exclusive basis and may be used for editorial purposes only, such as news, entertainment information programming and/or talk show programming, and any websites directly associated with your particular news program, entertainment information program and/or talk show program. The Provided Content may only be used in the corresponding segment of the applicable news, entertainment information program and/or talk show program broadcast covering the Recording Academy® and its applicable events and for no other purpose whatsoever, without the prior written consent of the Recording Academy.
No right to sell or otherwise monetize any of the Provided Content is permitted or authorized hereunder.
No right to sublicense, assign or transfer the use of any Provided Content is permitted or authorized hereunder.
The Provided Content may only be used within seven days of downloading. After this time period expires, you must get written permission from the Recording Academy for any additional or further uses. This provision applies to all domestic & international broadcasters as well as internet press.
For each use of photo selects, the following Mandatory Courtesy must be included: "Photo by Getty Images for the Recording Academy®."

LICENSE AND ADDITIONAL TERMS AND CONDITIONS
The following additional terms and conditions (the "Terms and Conditions") apply, as applicable, to your use of the Provided Content (including the Excerpts thereof).
License: Subject to these terms and conditions and the other provisions of this Media Guide, National Academy of Recording Arts & Sciences, Inc. (the "Recording Academy") hereby grants only to the applicable media outlets or individuals that access Provided Content (including the Excerpts thereof) (“Media Partner”) as applicable, solely during the Use Period (as defined above) the non-assignable, non-transferable, terminable and non-exclusive right and license ("License") to display the permitted Provided Content (including the Excerpts thereof), as applicable, solely for the Use (as defined below). Media Partner may not sublicense, assign, convey, delegate or transfer this License or its right to use the Provided Content (including the Excerpts thereof), as applicable, and any violation thereof shall be void ab initio. Except for the Use, Media Partner shall not use, display, copy, disseminate, or otherwise exploit the Provided Content (including the Excerpts thereof), as applicable, in any matter whatsoever. Prior to any Use, it shall be Media Partner's sole and full responsibility to obtain any and all Rights (as defined below) required for each such Use. For purposes hereof, "Use" means editorial-only news coverage of the Recording Academy and its applicable events; and "Rights" means all rights, consents and/or clearances, including, without limitation, respecting (i) any sound recordings, (ii) any musical compositions (including, without limitation, words, lyrics and/or music), (iii) any names, likenesses, characters, voices, biographies, copyrights, designs, trademarks, or other identification of any individual or performing group, presenter, guest and/or other artist, and (iv) any other items, in each case included in, depicted in, featured in and/or appearing within the Provided Content (including the Excerpts thereof).
Costs and Expenses: As between Media Partner and the Recording Academy, Media Partner shall pay and be responsible for all costs, expenses and fees (including residual fees), in each case as applicable, relating to (i) the Rights, (ii) the Use of the Provided Content (including the Excerpts thereof), and (iii) unions and other organizations with collective bargaining agreements, including (without limitation) AFTRA, DGA, WGA, and AFM.
Reservation of Rights: All rights of the Recording Academy not expressly granted to Media Partner herein are expressly reserved to the Recording Academy. Media Partner agrees and acknowledges that following the expiration of the Use Period or earlier termination of the License, all rights granted herein to Media Partner respecting the Provided Content (including the Excerpts thereof) shall terminate and Media Partner will not use any of the Provided Content (including the Excerpts thereof) for any purpose. The entirety of this Media Guide is personal to Media Partner, and Media Partner shall not transfer or assign the Media Guide or any of its rights hereunder without the prior written approval of the Recording Academy. Subject to the foregoing, this Media Guide shall be binding upon each party's successors and assigns.
Copyright: Media Partner acknowledges that the Recording Academy is the sole owner, as between Media Partner and the Recording Academy, of all copyrights and exclusive rights in and to the Provided Content (including the Excerpts thereof).
Disclaimers: Notwithstanding anything contained herein to the contrary, the rights and permissions provided by the Recording Academy in this Media Guide are expressly limited to those rights owned by the Recording Academy. To the extent any rights (including but not limited to copyright, trademark, right of publicity, or other intellectual property rights) owned by any third party may be depicted or displayed in the Provided Content (including the Excerpts thereof), the Recording Academy makes no representations or warranties as to these rights. Indemnities: Media Partner agrees to defend, indemnify, and hold The Recording Academy and its affiliates, employees, officers, trustees, directors, members, agents, successors and assigns (collectively, the "RA Indemnified Parties"), free and harmless from and against any and all out-of-pocket costs and expenses (including reasonable outside attorneys' fees and other reasonable outside legal expenses) arising out of or related to third-party claims resulting from (i) a breach by Media Partner (including, its employees, contractors and agents) of this Media Guide (including, without limitation, any failure of it to obtain the Rights as required hereunder), (ii) the negligent or more culpable conduct of Media Partner (including, its employees, contractors and agents), and/or (iii) the violation of any applicable law, rule or ordinance by Media Partner (including, its employees, contractors and agents).
Limitation on Damages: NOTWITHSTANDING ANYTHING CONTAINED HEREIN TO THE CONTRARY, (A) THE RECORDING ACADEMY SHALL NOT, UNDER ANY CIRCUMSTANCES, BE LIABLE TO MEDIA PARTNER FOR ANY INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND ARISING FROM THE BREACH OR TERMINATION OF THIS MEDIA GUIDE (INCLUDING THESE TERMS AND CONDITIONS) EVEN IF MEDIA PARTNER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, and (b) the maximum liability of the Recording Academy to Media Partner for any and all claims arising out of or related to this Media Guide (including these Terms and Conditions), at law or in equity, will not exceed One Hundred Dollars ($100.00).
Injunctive Relief: Media Partner agrees that a breach of any of the obligations or covenants contained in this Media Guide shall cause irreparable injury to the Recording Academy for which the remedy at law is inadequate and would be difficult to ascertain. Therefore, in the event of the breach or threatened breach of any such obligations or covenants, the Recording Academy shall be entitled, in addition to any other rights and remedies it may have at law or in equity, to an injunction to restrain Media Partner from any threatened or actual activities in violation of any such obligations or covenants. Media Partner hereby consents and agrees that temporary and permanent injunctive relief may be granted in any proceedings which might be brought to enforce any such obligations or covenants without the necessity of proving of actual damages or posting a bond, and in the event the Recording Academy does apply for such an injunction, Media Partner shall not raise as a defense thereto that the Recording Academy has an adequate remedy at law.
Termination and Miscellaneous: Notwithstanding anything to the contrary contained herein, in addition to all other remedies available at law or in equity, the Recording Academy shall have the right (but not the obligation) to terminate, immediately upon written notice thereof to Media Partner, Provided Content (including the Excerpts thereof) in the event Media Partner breaches any of the provisions of this Media Guide (including the above Terms and Conditions). None of the provisions of this Media Guide (including these Terms and Conditions) may be amended, changed, altered, expanded or replaced without the prior written consent of the Recording Academy.
Jurisdiction: THE VALIDITY, INTERPRETATION AND LEGAL EFFECT OF THIS MEDIA GUIDE (INCLUDING THESE TERMS AND CONDITIONS) SHALL BE GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA APPLICABLE TO CONTRACTS ENTERED INTO AND PERFORMED ENTIRELY WITHIN THE STATE OF CALIFORNIA (WITHOUT GIVING EFFECT TO ANY CONFLICT OF LAW PRINCIPLES UNDER CALIFORNIA LAW). THE CALIFORNIA COURTS (STATE AND FEDERAL), SHALL HAVE SOLE EXCLUSIVE JURISDICTION OF ANY AND ALL CONTROVERSIES ARISING OUT OF OR RELATED TO THIS MEDIA GUIDE (INCLUDING THESE TERMS AND CONDITIONS); ANY ACTION OR OTHER PROCEEDING WHICH INVOLVES SUCH A CONTROVERSY SHALL BE BROUGHT ONLY IN THOSE COURTS IN LOS ANGELES, CALIFORNIA AND NOT ELSEWHERE. THE RECORDING ACADEMY AND THE UNDERSIGNED ON BEHALF OF ITSELF AND FOR THE MEDIA OUTLET IT REPRESENTS WAIVE ANY AND ALL OBJECTIONS TO VENUE IN THOSE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS. IN THE EVENT THAT THE RECORDING ACADEMY IS THE PREVAILING PARTY IN ANY LEGAL ACTION BETWEEN THE RECORDING ACADEMY AND THE UNDERSIGNED AND THE MEDIA OUTLET IT REPRESENTS ARISING FROM OR RELATED TO THIS MEDIA GUIDE (INCLUDING THESE TERMS AND CONDITIONS), WHETHER INSTITUTED BY THE RECORDING ACADEMY OR BY MEDIA PARTNER, MEDIA PARTNER SHALL PROMPTLY REIMBURSE THE RECORDING ACADEMY FOR ALL COSTS AND EXPENSES (INCLUDING REASONABLE OUTSIDE ATTORNEYS' FEES) INCURRED BY THE RECORDING ACADEMY IN CONNECTION THEREWITH.
